The Website is operated by Coup B.V. (“Coup B.V.”, “we”, “us”, or “our”). Our registered office is Professor Snijdersstraat 2, 2628 RA Delft, Netherlands. You can reach us at [email protected] or by phone at +31 15 200 3196.

These Terms incorporate our Privacy Policy and Cookie Policy by reference. Please read them to understand how we handle personal data and cookie preferences.

1. Eligibility and Age

You must be at least 16 years old to use the Website. If you are under 18, you may use the Website only with the involvement and supervision of a parent or legal guardian who agrees to these Terms.

2. Educational Purpose and No Guarantee

Coup B.V. provides educational programmes, workshops, learning resources, and consultation-style conversations related to business innovation education, entrepreneurship training, organisational development concepts, professional skills enhancement, and strategic thinking workshops. Content on the Website is provided for educational and professional development purposes only.

Participation in educational programmes does not guarantee business success, employment opportunities, financial outcomes, professional advancement, or personal achievements. Any examples, templates, or frameworks referenced are illustrative and must be adapted to the participant’s context. Results depend on decisions and implementation, which are outside our control.

If the Website references third-party models, terminology, or tools, such references are for education and context. They do not imply endorsement, partnership, or certification unless explicitly stated.

3. Website and Services Description

The Website provides information about our educational offerings and allows individuals and organisations to submit requests for programme information or enrolment support. We may update the Website, change content, and adjust how information requests are handled over time.

We may modify, suspend, or discontinue any part of the Website at any time. We aim to keep information current, but programme availability, schedules, formats, and content outlines may change.

4. Acceptable Use

You agree to use the Website in a lawful, respectful, and technically reasonable manner. In particular, you must not:

  • Attempt to gain unauthorised access to the Website, servers, or any connected systems.
  • Probe, scan, or test the vulnerability of the Website or bypass security or access controls.
  • Use automated means to scrape, crawl, harvest, or index the Website in a manner that imposes unreasonable load.
  • Transmit malware, viruses, or any code designed to interfere with or disrupt the Website.
  • Submit false, misleading, or impersonated information in contact or enrolment request forms.
  • Use the Website for unsolicited advertising, spam, phishing, or fraudulent activity.
  • Use the Website in a way that violates applicable sanctions or export-control laws.

We may restrict or block access where we reasonably believe use violates these Terms or threatens the security and integrity of the Website.

5. Information You Submit

When you submit a request using the Website, you agree that the information you provide is accurate and that you have the right to provide it. You are responsible for the content of your messages, including any project or organisational details you choose to share.

Please do not include sensitive information that is not necessary for an educational enquiry. If you choose to share confidential business information, you do so at your own discretion. If you require a formal confidentiality agreement before sharing details, request it in your message and limit the information until terms are confirmed.

6. Intellectual Property

The Website and its contents, including text, page design, educational descriptions, logos, and any templates made available on the Website (collectively, “Content”), are owned by Coup B.V. or licensed to us and are protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Website for your personal or internal organisational evaluation of our educational offerings. You may not copy, reproduce, distribute, publish, create derivative works from, or commercially exploit the Content without our prior written permission, except where such use is permitted by mandatory law.

If you wish to reference the Content for academic or organisational learning purposes, contact us to discuss the intended use.

7. Third-Party Services and Links

The Website may reference third-party services or resources for convenience and context. We are not responsible for third-party websites, products, or services, and your use of them is at your own risk and subject to their terms and privacy practices.

8. Disclaimers

The Website and Content are provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, we disclaim all warranties and representations, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and availability.

We do not warrant that the Website will be uninterrupted, error-free, or free of harmful components. While we take reasonable measures to secure the Website, no online service can be guaranteed as fully secure.

9. Limitation of Liability

To the maximum extent permitted by law, Coup B.V. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to your use of (or inability to use) the Website.

To the maximum extent permitted by law, our total liability for any claim arising out of or related to the Website or these Terms is limited to the greater of (a) the amount you paid to us in the 12 months prior to the event giving rise to the claim, or (b) €100.

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for intent (opzet) or gross negligence (grove schuld) where such limitation is not permitted.

10. Indemnification

You agree to indemnify and hold harmless Coup B.V. from and against claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from (a) your misuse of the Website, (b) your violation of these Terms, or (c) content you submit that infringes or violates the rights of a third party.

11. Force Majeure

Coup B.V. is not responsible for delays or failures caused by events beyond our reasonable control, including natural disasters, war, labour disputes, pandemics, internet or hosting outages, cyberattacks, or failures of third-party infrastructure providers.

12. International Use

Coup B.V. is established in the Netherlands and provides educational services to participants and organisations across Canada through online participation formats. We make no representation that the Website is appropriate or legally available in all jurisdictions. You are responsible for compliance with local laws that apply to your access and use.

13. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) are governed by the laws of the Netherlands.

Unless mandatory consumer protection rules provide otherwise, disputes will be submitted to the competent courts in the Netherlands. If you are a consumer resident in the European Union, you may also benefit from mandatory provisions of consumer protection law in your country of residence.

14. Termination

We may suspend or terminate your access to the Website if we reasonably believe you have violated these Terms or if your use creates risk to the Website, our operations, or other users. The following provisions survive termination: Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law and Jurisdiction, and any other provisions that by their nature should survive.

15. Changes to These Terms

We may update these Terms from time to time. Changes will be effective 14 days after posting on this page unless a change is required by law or is administrative in nature, in which case it may be effective immediately. Your continued use of the Website after changes take effect constitutes acceptance of the updated Terms.

16. Severability

If any provision of these Terms is held unlawful, void, or unenforceable, that provision will be severed and the remaining provisions will remain in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Coup B.V. regarding your use of the Website and supersede any prior or contemporaneous understandings on that subject.

18. Assignment and No Waiver

We may assign or transfer our rights and obligations under these Terms to an affiliate or successor in interest in connection with a corporate reorganisation, merger, acquisition, or asset transfer. You may not assign these Terms without our prior written consent.

Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
